Terms of Use

The agreement between you and Wque when you visit our website, sign up for an account or use our WhatsApp Business API, marketing and OTP services. Please read it carefully.

1. Acceptance of these terms

These Terms of Use (the “Terms”) constitute a binding legal agreement between you (the “Customer,” “you” or “your”) and Wque (“Wque,” “we,” “us” or “our”).

By creating an account, accessing the dashboard, calling our APIs or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. Definitions

  • “Service” means the Wque WhatsApp Business API platform, dashboard, REST APIs, webhooks, documentation and any related products or features we make available.
  • “End-user” means a recipient of a WhatsApp message that you send through the Service.
  • “Credits” means the prepaid units in your wallet used to meter messaging usage. One credit corresponds to ₹1 of send budget at the published per-message rates.
  • “Plan” means the subscription tier you select (currently Free, Pro, Pro Plus and Ultra).
  • “Customer Data” means data, content and information you or your End-users submit to the Service, including contact lists, message templates, media and webhook payloads.
  • “Documentation” means the user guides, OpenAPI specification and other materials we publish at wque.chat.

3. The Service

Wque provides a WhatsApp messaging, marketing automation and OTP delivery platform. The Service enables you to:

  • Send WhatsApp marketing campaigns, utility notifications, transactional authentication / OTP messages and customer support replies via Meta’s WhatsApp Business Cloud API.
  • Manage templates, contacts, broadcasts and inboxes from the dashboard.
  • Integrate via REST endpoints (for example, POST /v1/send, GET /v1/status) and signed inbound webhooks (HMAC-SHA256).
  • View delivery analytics, monitor wallet balance and download invoices.

We continuously improve the Service. We may add, modify or remove features at any time without prior notice. Where a change materially reduces the Service’s functionality, we will give reasonable advance notice.

4. Eligibility & account registration

  • You must be at least 18 years old and capable of entering into a binding contract.
  • You agree to provide accurate, current and complete information and to keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials, API keys and webhook secrets, and for all activity that occurs under your account.
  • Notify us immediately at security@wque.chat if you suspect any unauthorised use of your account.
  • Each account is for one organisation. Sharing accounts across organisations is not permitted; create a separate workspace instead.

5. KYC & business verification

Meta and the Reserve Bank of India / Indian regulators require us to verify the identity of every customer that sends messages through the WhatsApp Business Cloud API. As a condition of using the paid Service you agree to:

  • Submit identity documents according to your account type — Individual: PAN and Aadhaar reference; Company: Company PAN, TAN and AOA / MOA.
  • Cooperate with reasonable additional verification steps, including business display-name verification with Meta.
  • Acknowledge that incomplete or fraudulent KYC may result in delayed onboarding, rate-limiting, suspension or termination at our sole discretion.

We process KYC information in accordance with our Privacy Policy and applicable law.

6. Acceptable use

You agree NOT to use the Service to:

  • Send messages without prior, demonstrable opt-in consent from the recipient, except where the message is solely a transactional notification or authentication code permitted under WhatsApp’s Business and Commerce Policies.
  • Send unsolicited bulk messages, spam, deceptive marketing, multi-level marketing schemes, chain messages, “please-forward” campaigns or any other content that violates WhatsApp’s Business Policy.
  • Promote, sell or distribute illegal goods or services; weapons; controlled substances; tobacco; sexual or adult content; gambling (where prohibited); cryptocurrency offerings prohibited by Meta; or any other product banned by applicable law or by Meta.
  • Impersonate any person or entity, mislead recipients about the origin of a message, or use stolen / harvested phone-number lists.
  • Send phishing, malware, ransomware, exploit kits or any content designed to defraud or harm recipients.
  • Harass, intimidate, threaten or discriminate against any person or group.
  • Reverse-engineer, decompile or disassemble the Service, attempt to derive its source code, or interfere with its operation, security or rate limits.
  • Use the Service to build a competing WhatsApp messaging platform or to scrape third-party platform data.
  • Violate any applicable law, regulation or third-party right.

We may, at our discretion, monitor for abuse and apply automated or manual enforcement actions including warnings, throttling, template / template-category downgrades, account suspension and termination.

7. WhatsApp & Meta policies

In addition to these Terms you must comply with all policies imposed by Meta on use of the WhatsApp Business Cloud API, including but not limited to:

  • WhatsApp Business Messaging Policy
  • WhatsApp Commerce Policy
  • WhatsApp Business Solution Terms
  • Meta Platform Terms and Developer Policies

If Meta suspends, restricts or terminates your access to the WhatsApp Business Cloud API, your access to corresponding features of the Service may be suspended, restricted or terminated as well. We are not responsible for actions taken by Meta.

8. Credits, billing & payments

8.1 Plans & included credits

Wque sells subscription Plans that grant a fixed number of Credits each billing period. Per-message rates (marketing, utility, OTP and custom text) are deducted from your Credit balance at the published rate at the time of send. Current pricing is shown on the Pricing page and is incorporated into these Terms by reference.

8.2 Billing cycles

  • Monthly Plans renew automatically every month and grant that Plan’s standard monthly Credit allowance.
  • Yearly Plans are charged once at 12× the monthly price and grant monthly_credits × 12 × 1.05 — a built-in 5% bonus on Credits.
  • Top-up Credits can be purchased separately and added to your wallet at the published add-on rate. Top-up Credits do not expire as long as your account remains active.
  • Free tier Credits are deposited each month and expire at the end of that month if unused.

8.3 Credit consumption

Credits are consumed when a message is accepted by Meta’s WhatsApp Business Cloud API. Failed or undeliverable messages are not refunded if the failure is attributable to incorrect recipient information, the recipient blocking your business, the recipient exceeding their session limits, or other end-user-side conditions. Credits may be refunded at our discretion when failure is clearly attributable to a Wque outage.

8.4 Auto-renewal

Plans renew automatically at the end of each billing period using the payment method on file. You can cancel auto-renewal from the dashboard at any time before the renewal date.

8.5 Late payment

If a payment fails, we may pause sending and webhook delivery until the balance is cleared. Unpaid invoices outstanding for more than 30 days may be referred to a collections agency or otherwise pursued under Indian law.

9. Taxes

All prices are in Indian Rupees (₹) and are exclusive of applicable taxes (including GST), unless stated otherwise. You are responsible for paying any taxes, duties, withholdings or government charges levied on your purchase of the Service, except for taxes based on Wque’s net income.

If you are required by law to deduct any tax from a payment to Wque, you must gross-up the payment so that we receive the full invoice amount.

10. Refunds & cancellation

  • Subscription fees are non-refundable once the corresponding Credit allowance has been deposited into your wallet.
  • Top-up Credit purchases are non-refundable.
  • Service not delivered: if you do not receive the Service as described (for reasons attributable to Wque), you may request a refund within 15 days from the time your payment was initiated by emailing hello@wque.chat. We may request payment reference IDs and diagnostic details to validate the claim.
  • Yearly upgrades: pro-rated refunds are not offered if you cancel before the year ends. You will retain access to the Service through the end of the paid period.
  • Wque-attributable outages: where we breach the SLA in Section 11, service credits are issued in accordance with that section as the sole remedy.
  • Goodwill exceptions: we may issue discretionary refunds in exceptional cases. Contact hello@wque.chat with details.

11. Service availability & support

We target 99.9% monthly uptime for the Service, measured at the API edge, excluding scheduled maintenance and Meta-side outages. Support response targets vary by Plan and are described on the Pricing page.

If we materially fail to meet the uptime target in a calendar month, you may request service credits equal to the pro-rated value of one day of your subscription per 1% below the target, capped at 30% of the monthly subscription fee. Credits will be applied to your next invoice and are your sole remedy for unavailability.

Scheduled maintenance is announced in advance via the dashboard or via email. Emergency maintenance may be performed at any time to protect platform integrity.

12. Intellectual property

The Service, including all software, designs, dashboards, documentation, trademarks, logos and other materials, is owned by Wque or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription period.

Nothing in these Terms transfers any intellectual-property rights in the Service to you. The Wque name, logo and product names are our trademarks. You may not use them without our prior written consent.

13. Customer data & feedback

You retain all rights, title and interest in and to your Customer Data. You grant Wque a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Customer Data solely as necessary to provide and improve the Service, comply with law, and enforce these Terms.

You are solely responsible for the accuracy, quality, legality and integrity of Customer Data, for obtaining all necessary consents from End-users, and for the means by which you acquired the data.

If you provide feedback or suggestions about the Service, you grant Wque a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, including improving the Service.

14. Confidentiality

Each party may have access to confidential information of the other (including non-public business plans, technical information, customer data and pricing). Each party agrees to:

  • Use confidential information only as necessary to perform under these Terms.
  • Protect confidential information using at least the same standard of care it uses to protect its own confidential information of similar importance, but in no event less than reasonable care.
  • Not disclose confidential information to any third party, except to its employees, advisors and sub-processors bound by similar confidentiality obligations and on a need-to-know basis.

These obligations do not apply to information that is public, independently developed without reference to the disclosing party’s information, rightfully received from a third party without breach of confidence, or required to be disclosed by law (in which case the receiving party will, where legally permitted, give the disclosing party reasonable advance notice).

15. Suspension & termination

15.1 By you

You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then.

15.2 By Wque

We may suspend or terminate your access to the Service immediately if:

  • You materially breach these Terms, the Acceptable Use policy in Section 6 or any Meta / WhatsApp policy referenced in Section 7.
  • You fail to pay amounts due, after a 7-day cure period.
  • Your use poses a security, reputation or legal risk to Wque, Meta or other customers.
  • Required by law, court order or instruction from a competent authority.
  • Meta restricts or revokes Wque’s ability to provide the Service in respect of your account or phone number.

15.3 Effect of termination

Upon termination: (a) your right to access the Service ends; (b) we may delete Customer Data in accordance with our retention schedule; (c) you remain liable for all fees accrued before termination; (d) sections that by their nature should survive (including Confidentiality, IP, Customer Data, Disclaimers, Liability, Indemnity and Governing Law) shall survive.

You may export Customer Data from the dashboard during the subscription period. Where reasonable, we will provide a 30-day grace window after termination during which you can request an export.

16. Disclaimers

Except as expressly stated in these Terms, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that defects will be corrected.

Wque does not warrant the delivery, deliverability, conversion, response or any other business outcome of any specific message, campaign or template. Message delivery depends on Meta, mobile-network operators, recipient device state, opt-out lists and other factors outside our control.

17. Limitation of liability

To the maximum extent permitted by law, in no event shall Wque, its affiliates, officers, employees or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill or cost of substitute services, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

Wque’s aggregate liability for all claims arising out of or relating to these Terms, regardless of the form of action, shall not exceed the greater of (a) the total fees actually paid by you to Wque in the twelve (12) months preceding the event giving rise to the claim, or (b) ₹25,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions may not apply to you.

18. Indemnification

You agree to defend, indemnify and hold harmless Wque, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorney’s fees) arising out of or in any way connected with:

  • Your use of the Service in violation of these Terms or applicable law.
  • Your Customer Data, including any claim that it infringes a third party’s rights or that you lacked the consent required to process it.
  • Any message you send through the Service, including marketing campaigns and OTP flows.
  • Any breach by you of WhatsApp’s Business Policy, Commerce Policy or related Meta policies.

19. Force majeure

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, civil or military authorities, fires, floods, accidents, network or power failures, strikes, pandemic, or actions or omissions of third-party providers (including Meta).

20. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to mandatory consumer-law protections, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

The parties agree to attempt in good faith to resolve disputes through negotiation before initiating any legal proceedings.

21. Changes to these terms

We may revise these Terms from time to time. The most current version will always be posted on this page with the “Last updated” date refreshed. For material changes we will provide reasonable advance notice (for example, in-app notice or email).

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them. If you do not agree to the changes, you must stop using the Service before the effective date.

22. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any order form or DPA executed between us, constitute the entire agreement between you and Wque regarding the Service and supersede all prior or contemporaneous agreements.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Failure or delay in exercising any right under these Terms does not operate as a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
  • Independent contractors. The parties are independent contractors. These Terms do not create any partnership, joint venture or agency relationship.
  • Notices. Notices to Wque must be sent to hello@wque.chat. Notices to you may be sent to the email address on your account or posted in-product.
  • Headings. Section headings are for convenience only and do not affect interpretation.
